VEXA Wallet Terms of Use

1. Acceptance of Terms
By purchasing, accessing, or using the VEXA Wallet hardware device and associated software applications (collectively, the "Product"), you ("User" or "you") agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and VEXA Technologies Inc. ("VEXA," "we," "us," or "our").
If you do not agree to these Terms, do not purchase or use the Product. Your purchase and use of the Product constitutes acceptance of these Terms as of the date of purchase or first use, whichever occurs first.
Age Requirement: You must be at least 18 years of age to purchase and use the VEXA Wallet. By accepting these Terms, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you are using the Product on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Product Description & Specifications
The VEXA Wallet is a non-custodial hardware cryptocurrency wallet device designed to store private keys offline in an air-gapped environment. The Product includes:
- VEXA Wallet Hardware Device - Physical cold storage device with Secure Element chip
- USB Cable - For device connectivity and firmware updates
- Recovery Phrase Backup Cards - Physical cards for seed phrase backup
- User Manual - Setup and operation instructions
- Companion Software - Mobile and desktop applications for device interaction
Core Features and Specifications
The VEXA Wallet provides the following capabilities:
- Secure Element Chip: Military-grade encryption for private key storage
- Air-Gapped Transaction Signing: Transactions signed offline without internet exposure
- Multi-Chain Support: Compatible with Bitcoin (BTC), Ethereum (ETH), Solana (SOL), Cardano (ADA), BNB Chain (BNB), and 1,000+ ERC-20, BEP-20, and SPL tokens
- Recovery Phrase System: BIP-39 compliant 24-word seed phrase backup
- Open-Source Firmware: Auditable code available for security review
- Dual Connectivity: USB and wireless (Bluetooth) options
VEXA reserves the right to modify product specifications, features, and supported assets through firmware updates. Specifications are accurate as of the publication date but may change without prior notice.
3. Purchase Process & Account Creation
To purchase the VEXA Wallet, you must complete the registration process at the price of $139 USD (subject to change without notice). The purchase process includes:
Registration Requirements
During registration, you must provide accurate and complete information including:
- Full legal name
- Valid email address
- Country of residence
- Optional newsletter subscription preference
Account Authentication
Upon completing registration, login credentials for the VEXA payment platform will be sent to your registered email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
No KYC Policy
VEXA does not require Know Your Customer (KYC) documentation for device purchases. We collect only the minimum information necessary to process orders and deliver products. See our Privacy Policy for details on data handling.
Order Acceptance
All orders are subject to acceptance by VEXA. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, suspected fraudulent activity, or violation of these Terms. If your order is cancelled after payment, you will receive a full refund.
Pricing Accuracy
We make every effort to ensure pricing accuracy. However, errors may occur. If a product is listed at an incorrect price due to an error, we reserve the right to refuse or cancel orders placed for that product, regardless of whether the order has been confirmed.
4. Non-Custodial Wallet & User Responsibility
⚠️ CRITICAL: The VEXA Wallet is a NON-CUSTODIAL device. VEXA does not have access to, store, or control your private keys, recovery phrases, or cryptocurrency assets.
User Sole Responsibility
By using the VEXA Wallet, you acknowledge and agree that:
- You are solely responsible for safeguarding your private keys and recovery phrase (seed phrase)
- VEXA cannot recover lost, forgotten, or compromised private keys or recovery phrases
- Loss of access to your recovery phrase means permanent, irreversible loss of access to your cryptocurrency assets
- No customer service team, support ticket, or legal action can restore access to lost private keys
- You must secure your recovery phrase backup cards in a safe location protected from theft, damage, and unauthorized access
- Sharing your recovery phrase with anyone compromises the security of all assets stored on the device
No Custodian or Intermediary
Unlike exchange-based wallets or custodial services, VEXA operates a zero-knowledge architecture. We do not act as a custodian, intermediary, or financial institution. The device operates entirely under your control. VEXA has no ability to freeze, reverse, or recover transactions.
Security Best Practices
You are responsible for implementing security measures including:
- Writing down your 24-word recovery phrase during device initialization
- Storing backup cards in multiple secure, geographically distributed locations
- Never photographing, digitizing, or storing your recovery phrase electronically
- Verifying receiving addresses before confirming transactions
- Keeping device firmware updated to the latest version
- Protecting your device with a strong PIN code
NOT YOUR KEYS, NOT YOUR CRYPTO. With the VEXA Wallet, your keys are YOUR keys. This means total control and total responsibility.
5. Limitation of Liability
No Liability for Lost Funds
VEXA SHALL NOT BE LIABLE FOR ANY LOSS OF CRYPTOCURRENCY ASSETS, FUNDS, OR DIGITAL PROPERTY ARISING FROM:
- Loss, theft, or compromise of private keys or recovery phrases
- User error in transaction execution, including incorrect recipient addresses
- Forgotten PIN codes or passwords
- Unauthorized access to your device or recovery phrase by third parties
- Blockchain network errors, forks, or failures
- Exchange rate fluctuations or market volatility
- Smart contract vulnerabilities or DeFi protocol failures
- Malware, phishing attacks, or social engineering targeting users
Device Damage and Warranty Limitations
VEXA's liability for device defects is limited to replacement or repair as outlined in our warranty policy. We are not liable for:
- Physical damage caused by user mishandling, dropping, or environmental exposure
- Damage from unauthorized modifications, repairs, or firmware installations
- Indirect, incidental, special, consequential, or punitive damages
- Loss of business, profits, data, or opportunity
Maximum Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE DEVICE ($139 USD).
Assumption of Risk
You acknowledge that cryptocurrency storage and transactions involve inherent risks, including but not limited to technological vulnerabilities, regulatory changes, market volatility, and user error. You assume all risks associated with cryptocurrency ownership and use of the VEXA Wallet.
No Financial or Legal Advice
VEXA does not provide financial, investment, tax, or legal advice. The Product is a tool for cryptocurrency storage; decisions regarding asset allocation, trading, and tax compliance are solely your responsibility. Consult qualified professionals for advice specific to your situation.
6. Intellectual Property & Open-Source Licensing
Trademarks and Brand
The VEXA name, logo, and all related trademarks, service marks, and trade dress are the exclusive property of VEXA Technologies Inc. You may not use our trademarks without prior written permission.
Open-Source Firmware License
The VEXA Wallet firmware is released under the MIT License, permitting users and security researchers to inspect, audit, and verify the code. The open-source nature of our firmware is a core security feature, enabling community-driven transparency.
You may access the firmware source code at our public repository. While the firmware is open-source, the VEXA hardware design, industrial design, and companion application source code remain proprietary.
Permitted Uses
Subject to these Terms, you may:
- Use the Product for personal or business cryptocurrency storage
- Audit and review the open-source firmware code
- Install verified firmware updates from official VEXA sources
Prohibited Uses
You may NOT:
- Reverse engineer, decompile, or disassemble proprietary components
- Remove, obscure, or alter any proprietary notices or labels
- Use the Product for illegal activities or prohibited purposes (see Section 7)
- Resell opened devices as new or tamper with security seals
7. Prohibited Uses & Activities
You agree not to use the VEXA Wallet for any unlawful purpose or any purpose prohibited by these Terms. Prohibited activities include but are not limited to:
Illegal Activities
- Money laundering, terrorist financing, or sanctions evasion
- Fraud, theft, or misappropriation of funds
- Purchase or sale of illegal goods or services
- Tax evasion or failure to comply with applicable tax laws
- Violation of export control or economic sanctions regulations
Resale Restrictions
Due to security considerations, opened VEXA Wallet devices may not be resold as new. Devices with broken tamper-evident seals cannot be resold, as there is no way to verify whether private keys have been compromised. Unopened devices may be resold subject to our Refund Policy conditions.
Modification and Tampering
- Installing unofficial or malicious firmware
- Attempting to bypass security features or tamper protections
- Modifying hardware components or circuit boards
- Removing or disabling the Secure Element chip
Compliance Responsibility
You are solely responsible for ensuring your use of the VEXA Wallet complies with all applicable laws and regulations in your jurisdiction, including but not limited to cryptocurrency regulations, tax laws, anti-money laundering (AML) requirements, and know-your-customer (KYC) obligations where applicable.
8. Warranty & Disclaimers
Limited Hardware Warranty
VEXA provides a 1-year limited warranty covering defects in materials and workmanship under normal use. This warranty covers:
- Manufacturing defects in the hardware device
- Failure of the Secure Element chip under normal operating conditions
- Screen, button, or connectivity failures not caused by user damage
Warranty claims require proof of purchase and return of the defective device. Warranty replacement devices will be provided at no charge. The warranty does NOT cover:
- Physical damage from drops, impacts, or environmental exposure
- Damage from unauthorized modifications or repairs
- Normal wear and tear
- Loss or theft of the device
Software Provided "AS IS"
THE VEXA WALLET FIRMWARE AND COMPANION APPLICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
VEXA disclaims all warranties, including but not limited to:
- Merchantability: No guarantee the Product is suitable for any particular purpose
- Fitness for a Particular Purpose: No guarantee the Product meets your specific requirements
- Non-Infringement: No guarantee of uninterrupted or error-free operation
- Title: No guarantee that software updates will not introduce bugs or vulnerabilities
Blockchain Network Disclaimers
VEXA has no control over blockchain networks (Bitcoin, Ethereum, Solana, etc.) and makes no warranties regarding network uptime, transaction speed, gas fees, or network reliability. Blockchain network issues are beyond our control and are not covered by any warranty.
Security Audit Disclaimer
While the VEXA firmware is open-source and auditable, no security audit can guarantee absolute security. Cryptographic vulnerabilities, zero-day exploits, or implementation errors may exist despite best efforts. Users assume all security risks.
9. Governing Law & Jurisdiction
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Jurisdiction and Venue
Any legal action or proceeding arising out of or relating to these Terms or the Product shall be instituted exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in such courts.
Dispute Resolution Process
Before initiating formal legal proceedings, you agree to attempt to resolve disputes through the following process:
- Informal Negotiation: Contact VEXA support at legal@vexa.academprotrade.com with a detailed description of the dispute
- Good Faith Resolution: Allow 30 days for VEXA to investigate and attempt resolution
- Mediation (Optional): If informal negotiation fails, parties may agree to non-binding mediation
Arbitration Agreement
For disputes exceeding $10,000 USD, you agree to binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration shall be conducted in Delaware by a single arbitrator. The arbitrator's decision shall be final and binding.
Class Action Waiver: You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class action or representative proceeding.
Exceptions to Arbitration
Either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized use of the Product.
10. Modification of Terms
VEXA reserves the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be effective upon posting to our website or notification via email to registered users.
Notification of Changes
We will provide notice of material changes through:
- Email notification to your registered email address
- Prominent notice on the VEXA website homepage
- Version number and "Last Updated" date changes in this document
Acceptance of Modified Terms
Your continued use of the Product after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must discontinue use of the Product.

Previous versions of these Terms are available upon request at legal@vexa.academprotrade.com.
11. Severability & Enforceability
Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms.
The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision. All remaining provisions shall continue in full force and effect.
Survival of Key Provisions
The following provisions shall survive termination or expiration of these Terms:
- Section 4 (Non-Custodial Wallet & User Responsibility)
- Section 5 (Limitation of Liability)
- Section 6 (Intellectual Property)
- Section 8 (Warranty Disclaimers)
- Section 9 (Governing Law & Jurisdiction)
Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and VEXA regarding the Product and supersede all prior or contemporaneous communications.
No Waiver
VEXA's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
